The Role
We are seeking an experienced individual to join our team as the Head of Legal and Compliance to handle all legal matters of companies from the Group. In this role, you will have the opportunity to lead and oversee all legal and compliance activities within our organization. As the Head of Legal and Compliance, you will be responsible for managing a small team and collaborating closely with various departments across different countries to develop and implement legal strategies, policies, and practices. You will keep abreast of changes in legislation and regulations that may affect the organization and ensure compliance with all applicable laws and regulations.
Head of Legal and Compliance will lead our legal department and manage the entire board governance. The candidate must understand the fintech/scaleup ecosystem, should be an exceptional legal expert, and must have a strong grasp of Articles of Association (AoA), Shareholders' Agreements (SHA), and other critical legal frameworks relevant to scaling up. Also, the candidate should be adept at understanding cap tables, shareholder resolutions, and other key aspects of corporate governance. Additionally, you will be instrumental in providing legal advice and counsel to senior management, identifying and mitigating risks, and working with external legal counsel when necessary.
Responsibilities:
- Lead legal department in its day-to-day operations within the Group (Iceland, Poland, United Kingdom)
- Conduct negotiations with customers around the world
- Advice and counsel senior management on legal matters and provide guidance on business strategies
- Provide strategic direction and leadership for all legal and compliance functions within the organization
- Develop and implement effective compliance programs and policies, ensuring adherence to legal requirements and industry standards
- Monitor changes in laws and regulations and evaluate the impact on the organization
- Identify potential areas of legal risk and develop strategies to mitigate such risks
- Oversee and manage all contracts, ensuring compliance and minimizing legal exposure
- Conduct internal investigations and ensure appropriate action is taken in accordance with legal requirements
- Manage relationships with external advisors and legal counsels
Required Skills and Qualifications:
- Qualified to practice law in Poland
- Minimum of 10 years of experience in a legal and/or compliance role (in- house or a law firm) in international setting
- Experience in commercial law, corporate finance and IT contracts
- Experience with start-up/scale-up shareholder governance, fundraising, etc. - a must have
- Fluency in Polish and English, oral and written
- Excellent organizational, interpersonal, written and oral communication skills
- Pragmatic approach with a strong drive on delivering quality results
- Knowledge of legal and regulatory frameworks relevant to the industry
- Experience of leading a small team
- Experience in the FinTech or IT industry
- Knowledge of intellectual property, data protection and cybersecurity laws
- Experience/knowledge of laws of England and Wales (nice to have)
